Article 1 - Definitions In these general terms and conditions, the following terms are defined as follows:
- "Nortide Marine Equipment": the company that sells, installs and maintains marine electronic equipment.
- "Customer": any natural person or legal entity who concludes an agreement with Nortide Marine Equipment.
- "Products": all electronic equipment and accessories for ships supplied by Nortide Marine Equipment.
- "Services": all installations, maintenance and repair work carried out by Nortide Marine Equipment.
- "Agreement": any written or oral agreement between Nortide Marine Equipment and the Customer.
Article 2 - Applicability
- These general terms and conditions apply to all offers, agreements and deliveries from Nortide Marine Equipment.
- Deviations from these conditions are only valid if agreed in writing.
- The Customer's general terms and conditions are expressly excluded, unless otherwise agreed in writing.
Article 3 - Offers and Agreements
- All offers are without obligation and valid for a specified period.
- An agreement is concluded after written confirmation from Nortide Marine Equipment.
- Prices in quotations and offers are exclusive of VAT and any additional costs.
Article 4 - Delivery and Retention of Title
- The delivery period is indicative and is not a strict deadline.
- Nortide Marine Equipment retains ownership of the products until the Customer has fully met his payment obligations.
- Risk of loss or damage to the products passes to the Customer upon delivery.
Article 5 - Installation and Maintenance
- Installation and maintenance services are carried out according to the agreed specifications and planning.
- The Customer is responsible for correct preparation of the installation environment, including correct cabling and power supply.
- Any additional costs due to unforeseen circumstances or an incorrect installation environment will be charged to the Customer.
Article 6 - Liability
Nortide Marine Equipment is only liable for direct damage that is demonstrably caused by a
- attributable shortcoming on her part.
- Liability is limited to the amount of the purchase price of the relevant product or service supplied, with a maximum of €50,000 per claim.

-Lost profits
-Loss of sales
-Loss of data
-Loss of goodwill
-Downtime damage
-Additional costs for repair or replacement
-Damage claims from third parties
-Missed savings – Financial benefits that a customer could have achieved but was unable to realize due to a shortcoming.
- The Customer must take all reasonable precautions to prevent damage to the equipment supplied.
- The Customer is obliged:
Correctly install and maintain the equipment according to contemporary installation standards in the electrical sector
This means that the customer ensures that the installation of the equipment is in accordance with the applicable standards, regulations and guidelines for electrical installations. The customer must also ensure safe and professional execution of the installation by certified and authorized technicians.
Ensure that the ship's electrical system meets the technical specifications of the equipment
The customer must ensure that the entire electrical system of the ship, including power grids, connections and other infrastructure, is fully compatible with the technical requirements of the equipment. This includes checking the mains voltage, frequency, power and other relevant parameters as specified by the manufacturer.
Prevent voltage peaks, poor grounding and electrolytic corrosion through proper fuses, overvoltage protection and insulation
The customer must take adequate measures to prevent voltage peaks, overvoltages, poor earthing and electrolytic corrosion, by installing suitable fuses, overvoltage protection and using high-quality insulation. This may include the customer using earth leakage circuit breakers, fuse boxes, voltage regulators and other protection systems that protect the equipment against overload and damage.
Regularly check cables and connections to prevent defects due to wear and tear
The customer is responsible for performing periodic inspections of the cables, connections and other components of the electrical system, especially in environments where wear and tear due to movement, corrosion or extreme weather conditions may occur. Defective or worn parts must be repaired or replaced immediately.
Ensure proper storage and handling of replacement parts
The customer must ensure that replacement parts are stored in a safe and appropriate manner, taking into account temperature conditions, humidity and other relevant factors to ensure the integrity of the parts.
Comply with all relevant safety standards and regulations relating to electrical installations and equipment
The customer is obliged to comply with all national and international safety standards, laws and regulations regarding the installation and maintenance of electrical systems and equipment, including but not limited to safety regulations for working with electrical equipment on ships.
Calibrate and test the equipment after installation or after major maintenance work
After installing new equipment or performing major maintenance work, the customer should calibrate and test the equipment to ensure that it functions properly within specified specifications.
Monitor the operation of the equipment and report on any deviations or malfunctions
The customer must continuously monitor the operation of the equipment and immediately report any deviations, malfunctions or irregularities to the supplier or maintenance expert, so that timely action can be taken to prevent damage or further loss of functionality.
Protect the equipment against external influences such as extreme weather conditions and incorrect power supply
The customer must protect the equipment against external hazards such as high temperatures, moisture, corrosion, overheating or undervoltage by installing the equipment in protected environments and applying suitable enclosures or covers.
Ensure proper training of personnel responsible for installation, maintenance and operation of the equipment
It is the customer's responsibility to ensure that personnel involved in the installation, maintenance and use of the equipment are properly trained and have the necessary knowledge of the equipment and safety regulations. This includes both technical training and awareness of the risks.
To grant access to the supplier at all times for inspection, maintenance and service
The customer must ensure that the supplier or its representative has access to the equipment and system upon request for inspection, maintenance, and service to ensure that the equipment continues to function optimally.
The Customer is fully responsible for the correct installation, maintenance and operation of all electrical systems and equipment on board the ship, in accordance with the applicable standards and guidelines in the electrical sector. The Customer is responsible for preventing short circuits, overheating, earth faults, static electricity, and all other malfunctions that could lead to the ignition of flammable substances or gases. This includes, but is not limited to, the adequate grounding of systems, the use of explosion-proof equipment in risk areas, and the timely detection and repair of gas leaks and electrical defects.
The Customer is liable for all damage, losses or costs resulting from fire, explosions, gas ignition, electric shock, or other incidents caused by defective installations, improper operation or failure of safety measures on board the ship. The Supplier is not liable for any consequential damage, including, but not limited to, damage to the ship structure, equipment not supplied by the supplier, or damage to the health or life of people or animals involved, unless there is intent or gross negligence of the Supplier.
- Nortide Marine Equipment is not liable for malfunctions caused by:
o Voltage variations or unstable on-board power supply.
o Incorrect cabling or the use of unsuitable cable thicknesses.
o Corrosion of connection points due to insufficient protection against moisture and salt.
o Use of unsuitable batteries or chargers that are not compatible with the equipment.
o Injudicious repairs or adjustments by unauthorized persons.
- To claim any form of liability, the Customer must:
o To be able to submit all relevant maintenance and installation reports.
o Report malfunctions immediately and limit further damage.
o To give Nortide Marine Equipment the opportunity to inspect the equipment.
- If the Customer does not comply with the above obligations, any form of liability on the part of Nortide Marine Equipment will lapse.
Article 7 - Warranty
- A standard warranty period of 24 months after delivery applies to new products, unless otherwise agreed.
- Warranty is void in case of incorrect use, negligent maintenance or damage due to external factors.
- Repairs within the warranty period will be carried out free of charge, unless the damage was caused by the Customer.
Article 8 - Payment
- Payment must be made within 30 days of the invoice date.
- In the event of late payment, the Customer owes interest of 1% per month.
- Collection costs will be fully charged to the Customer.
Article 9 - Force majeure
- In the event of force majeure, Nortide Marine Equipment has the right to suspend or terminate the agreement without compensation.
- Force majeure includes, among other things: extreme weather conditions, war, strikes, supplier disruptions and government measures.
Article 10 - Disputes and Applicable Law
- These conditions and agreements are exclusively governed by Dutch law.
- Disputes will be settled by the competent court in Rotterdam.
